Creator Program Agreement

Welcome to the Cykelith Creator Program!

This document outlines the terms and conditions (the "Agreement") between Cykelith ("us," "we," or "Cykelith") and you ("you" or "Creator") for participating in our User Generated Content Program (the "Program").

Your Agreement to These Terms

By signing up for the Program, you're agreeing to these terms. You also confirm you agree to Cykelith's general TERMS OF USE, our PRIVACY POLICY, and any other rules that might apply.

PLEASE READ THIS CAREFULLY. BY JOINING THE PROGRAM, YOU CONFIRM YOU'VE READ THIS AGREEMENT AND AGREE TO ALL ITS TERMS AND CONDITIONS.

Who Can Join? (Eligibility)

To be part of the Cykelith Creator Program and earn rewards, you need to meet these requirements:

Sign up through our official Creator Program page.
Follow all the rules listed in this Agreement.
Be a legal resident of the fifty (50) United States.
Be at least eighteen (18) years old.
Not be an employee of Cykelith or its parent companies, subsidiaries, or affiliates.

How the Program Works: Share & Earn

When you join the Program, you get the chance to earn Rewards from Cykelith. Here's the basic idea:

You create awesome content featuring Cykelith products (like the Customizer Engraving Pen!).
You post it on your Instagram and/or TikTok.
You tag our official account (@cykelithhandle) and use our official hashtag (#cykelithcreators) in your post.
Qualifying posts can earn you Rewards!

Key Terms Explained (Definitions)

Creator: That's you! Someone participating in the Program by showing Cykelith Products on social media and tagging us for a chance to get Rewards.
Rewards: Cool stuff (like discounts, products, or maybe even cash) you can receive from Cykelith for sharing qualifying Posts, according to these terms.
Post: Any content (photos, videos, etc.) you create and share on your social media that features Cykelith Products, following the rules here.
Product: Any Cykelith product you can buy. Creators are responsible for getting the Products they feature.

Rules for Your Posts (Content Guidelines)

Please make sure your Posts follow these guidelines:

People: Only feature yourself, or yourself and other people who have clearly given you permission to post them.
Tagging: You must include the hashtag #cykelithcreators AND tag our official account (@cykelithhandle on Instagram and/or @cykelithhandle on TikTok).
Brand Exclusivity: Don't mention or show any brands that compete with Cykelith.
Be Respectful: Don't say or show anything that defames, misrepresents, or insults Cykelith, our products, our business, or any competing brands/products.
Originality: Your Post must be your own original work. It cannot violate the rights (like copyright or privacy) of any other person or company.

How Rewards Work (Rewards Determination)

Notification: If you earn Rewards, we'll let you know via email (the one you used to sign up).
Changes Happen: The specific Rewards offered and the requirements to earn them can change. Cykelith can update these details anytime.
Fair Play: We reserve the right to pause giving out Rewards if we suspect any cheating, rule-breaking, or violation of this Agreement.

Other Important Policies & Pricing

Updates: Cykelith can change its terms, policies, and procedures whenever needed, following the law.
Pricing Info: Product prices and availability can change. Please do not display Cykelith's prices in your Posts.

Your Content: Ownership & How We Use It

You Own Your Post: You keep the ownership rights to the awesome content you create.
Our License to Use: By participating, you give Cykelith a perpetual (forever), worldwide, royalty-free (meaning we don't have to pay you extra) right and license to use, copy, share, display, distribute, and create derivative works from your Posts (and your image/name/likeness as it appears in the Post) for any marketing, advertising, or business purpose, across any media channels.
Cykelith Owns Its Stuff: Cykelith owns all rights to the Cykelith website, the Program itself, and all related materials.

Your Responsibilities & Protections for Us

Your Platform, Your Responsibility: You are completely responsible for what appears on your social media accounts.
Indemnity (Protecting Us): If you break any part of this Agreement, and that causes claims, damages, or expenses (including legal fees) for Cykelith, you agree to defend, indemnify, and hold Cykelith (and its officers, directors, employees) harmless. Basically, if you mess up and it costs us, you're responsible for covering those costs.

Staying in Touch (Communications)

By joining the Program, you agree to receive marketing emails from Cykelith. Don't worry, you can easily opt-out of these emails at any time by following the unsubscribe instructions in them.

Agreement Length, Changes & Ending It (Term, Termination, Modification)

Start & End: This Agreement starts the moment you sign up and continues until either you or Cykelith decides to end it.
Ending the Agreement: Either party can terminate this Agreement at any time, with or without reason, by giving notice.
Ending the Program: Cykelith can also suspend or completely end the Creator Program at any time.
Changes to Terms: Cykelith has the right to modify this Agreement anytime. If we make changes, we'll likely post the updated version, and your continued participation after changes means you accept the new terms.

Important Legal Details

Your Status: Independent Creator: Your relationship with Cykelith is that of an independent contractor. You are not an agent, employee, or legal representative of Cykelith. This Agreement doesn't create any partnership, joint venture, or employment relationship.
Our Liability is Limited: Cykelith will not be liable for any indirect, special, incidental, or consequential damages (like lost profits or data) related to this Agreement or the Program, even if we knew such damages were possible.
No Guarantees (Disclaimer): The Program is provided "as is." Cykelith makes no express or implied warranties or representations regarding the Program or any Rewards you might earn.
Official Notices: Any formal notice required under this Agreement will be considered delivered when sent personally, by email to your registered address, or by mail to your registered address.
Governing Law & Disputes: This Agreement is governed by the laws of the State of New York, without regard to its conflict of laws principles. Any disputes arising from this Agreement will be resolved exclusively through binding arbitration in New York, NY. You agree not to participate in any class action lawsuits against Cykelith related to the Program.
Keeping Things Confidential: Any non-public information Cykelith shares with you related to the Program must be kept strictly confidential.
This is the Whole Agreement: This document contains the entire understanding between you and Cykelith regarding the Creator Program. It replaces any previous discussions, agreements, or representations.
